1. Acceptance of these terms
These Terms of Service ("Terms") govern access to and use of the Eduvy Admissions CRM platform, including the web admin portal, the APIs, and the Eduvy Counsellor mobile application (collectively, the "Service"), operated by Eduvy ("Eduvy", "we", "us"). By creating an account, accessing, or using the Service, the customer organisation (a college or educational institution, the "Customer") and its authorised users ("Users") agree to these Terms. If you do not agree, do not use the Service.
2. The service
Eduvy is a multi-tenant Software-as-a-Service CRM for Indian college admissions. It enables Customers to engage prospective students ("Leads") through AI-assisted and human voice calls, WhatsApp and SMS messaging, lead ingestion and management, a knowledge base of admission facts, counsellor workflows, and analytics. We may improve, change, or discontinue features of the Service from time to time; we will use reasonable efforts to give notice of material adverse changes.
3. Accounts & tenants
- Each Customer is provisioned a separate, isolated tenant. User accounts (including Counsellors) are created and managed by the Customer's administrator; the Service does not offer self-service end-user signup.
- The Customer is responsible for authorising its Users, for the acts and omissions of its Users, and for keeping credentials confidential.
- The Customer must provide accurate information and promptly deactivate Users who should no longer have access.
4. Customer data & data-protection roles
"Customer Data" means data the Customer or its Leads provide to, or that is generated through, the Service. For Lead / prospective-student personal data, the Customer is the Data Fiduciary (controller) and Eduvy acts as a Data Processor, processing such data only on the Customer's documented instructions to provide the Service. The Customer represents and warrants that it has a lawful basis (including all consents and telecom permissions) to collect and process its Lead data and to instruct Eduvy to do so. Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms. As between the parties, the Customer owns its Customer Data; the Customer grants Eduvy a limited licence to host and process it to provide and secure the Service.
5. Telecom & messaging compliance
The Service places calls and sends messages on the Customer's behalf. The Customer is responsible for its own telecom-regulatory standing, including acting as the principal entity under its own DLT (Distributed Ledger Technology) registration, maintaining valid caller IDs and content/consent templates, and ensuring it has consent to contact each Lead. Eduvy provides controls intended to support compliance (for example DND/NDNC screening before automated dialling, calling-window enforcement, AI-disclosure at the start of automated calls, and consent records), but the Customer remains responsible for lawful use. The Customer must not use the Service to contact persons it is not permitted to contact.
6. AI-assisted features
The Service uses AI to assist with conversations and to draft suggestions. AI voice and chat answers are designed to be grounded in facts the Customer has reviewed and approved in its knowledge base, and to defer to a human where there is no approved answer. AI output may nonetheless contain errors; it is provided as assistance, not professional advice, and the Customer is responsible for reviewing material communications and decisions. Eduvy does not use Customer Lead transcripts or conversation data to train third-party advertising models.
7. Acceptable use
The Customer and Users must not: (a) use the Service to send unlawful, deceptive, harassing, or unsolicited communications in violation of applicable law; (b) upload unlawful content or infringe others' rights; (c) attempt to access another tenant's data or breach the Service's security or isolation; (d) reverse engineer, resell, or overload the Service; or (e) use the Service to build a competing product. We may suspend access to address a material breach, a security risk, or a legal-compliance issue.
8. Third-party services
The Service integrates third-party platforms (for example Meta/Facebook for lead ads and messaging, telephony and messaging providers, cloud infrastructure, and AI providers). Use of those integrations is also subject to the relevant third party's terms and policies (including Meta's Platform Terms and Developer Policies). The Customer is responsible for its own accounts and assets on those platforms (for example its Facebook Page and Business). Eduvy is not responsible for third-party services it does not control.
9. Fees & billing
Fees, plans, and any usage-based charges (for example per-call or per-message costs) are as agreed in the applicable order or plan. Unless stated otherwise, fees are exclusive of taxes, are payable in advance, and are non-refundable except as required by law. We may change pricing prospectively on reasonable notice.
10. Intellectual property
Eduvy and its licensors own all rights in the Service, including its software, models, designs, and trademarks. These Terms grant the Customer a limited, non-exclusive, non-transferable right to use the Service during the term. The Customer retains ownership of its Customer Data. Feedback the Customer provides may be used by Eduvy to improve the Service without obligation.
11. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Eduvy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or complete.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Eduvy's total aggregate liability arising out of or relating to the Service will not exceed the fees paid by the Customer to Eduvy for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.
13. Indemnity
The Customer will defend and indemnify Eduvy against third-party claims arising from the Customer's Customer Data, its communications with Leads, its violation of law (including telecom and data-protection law), or its breach of these Terms.
14. Term & termination
These Terms apply while the Customer uses the Service. Either party may terminate for material breach not cured within a reasonable notice period. On termination, the Customer's right to use the Service ends; we will make Customer Data available for export for a limited period and then delete or anonymise it in accordance with the Privacy Policy and applicable law. Provisions that by their nature should survive (for example IP, disclaimers, liability, indemnity, governing law) survive termination.
15. Governing law
These Terms are governed by the laws of India, and the courts at the Customer's contracted Eduvy place of business in India have exclusive jurisdiction, without prejudice to any mandatory consumer or data-protection rights.
16. Changes
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide more prominent notice. Continued use of the Service after an update constitutes acceptance of the revised Terms.
